The company took on US$10.3 million in announced-acquisition costs, with rationalisation charges climbing from US$7.2 million to US$17.1 million, more than double.

USA – Silgan’s net income fell to US$105 million in the third quarter of 2026, down from US$113.3 million a year earlier, as deal-related costs and restructuring expenses countered a 2% rise in sales to US$2.04 billion.
Diluted earnings per share dropped to US$0.99 from US$1.06 in the prior-year period, while earnings before interest and taxes declined to US$191.7 million from US$198.7 million.
The company absorbed US$10.3 million in costs tied to announced acquisitions and saw rationalisation charges more than double to US$17.1 million from US$7.2 million.
Corporate expenses also grew by US$4.4 million to US$15.4 million.
Lower average borrowings reduced interest and debt expense by US$2.7 million to US$47.3 million.
Closures Segment Supported by Pharma and Fragrance Demand
Dispensing and speciality closures sales ticked up 1% to US$699.2 million, though adjusted operating profit for the division fell 2% to US$111.2 million.
Unit volumes held steady, supported by mid-single-digit expansion in fragrance dispensing products and double-digit growth in North American prescription pharmaceutical dispensing.
These segments offset softer performance elsewhere, highlighting resilient demand in health and beauty packaging categories.
Metal Containers Offset Volume Declines With Higher Pricing
Metal container sales climbed 1% to US$1.17 billion, despite a 4% drop in volume as weaker soup demand weighed on the category.
Higher fruit, vegetable and pet food volumes partially cushioned the decline. Adjusted operating profit for the segment jumped 10% to US$105.2 million, benefiting from pricing and mix improvements.
Custom containers revenue rose 4% to US$166.8 million with adjusted operating profit up 3% to US$23.7 million, though the 2025 exit from lower-margin business reduced volumes by roughly 3%.
Outlook Raised on Consumer Staple Resilience
Silgan raised its 2026 adjusted earnings guidance to US$3.83 to US$3.93 per diluted share from US$3.73 to US$3.93, projecting operating profit to exceed 2025 levels across every segment.
The company reaffirmed approximately US$450 million in free cash flow and expects capital expenditure of US$310 million.
Adam Greenlee, president and chief executive officer, said the portfolio of consumer staple products remained well positioned to outpace growth in end markets, adding that the company was poised to deliver earnings and free cash flow growth again in 2026 and beyond.
The results follow Silgan’s partnership with American Industrial Partners to acquire Trivium Packaging in an all-cash deal valued at US$3.4 billion earlier this month, a transaction expected to reshape its metal packaging footprint.
