Constantia Flexibles takes majority stake in Aluflexpack

SWITZERLAND – Packaging behemoth Constantia Flexibles has inked an agreement to acquire approximately 57% of the shares in packaging producer Aluflexpack.

Operating across 14 locations in Europe, Aluflexpack specializes in foil and film packaging for the consumer and pharma sectors, boasting a workforce of over 1,500 employees.

The acquisition is poised to complement Constantia Flexibles’ packaging solutions portfolio and its current geographic presence in Turkey and Poland, while facilitating expansion into Southeast European countries.

Furthermore, Constantia anticipates that the addition will bolster its foil packaging presence across various market segments and grant access to an extended technology portfolio.

Constantia’s CEO Pim Vervaat expressed enthusiasm, stating, “I am delighted to welcome Aluflexpack to the Constantia Flexibles Group.

“This acquisition seamlessly aligns with our Vision 2030 strategy to establish Constantia Flexibles as a preeminent flexible packaging player in Europe and globally.

“The amalgamation of our businesses embodies a remarkable strategic and cultural fit, enabling us to better serve our clientele with an enhanced sustainable product range supported by a fully integrated technology portfolio while extending our geographical reach.”

The completion of the transaction is contingent upon certain closing terms and conditions, including regulatory approvals, and is expected to be finalized in the fourth quarter (Q4) of 2024.

This agreement follows closely on the heels of an affiliate of private equity investment management company One Rock Capital Partners’ acquisition of Constantia from European investment company Wendel, Maxburg Capital Partners, and other shareholders.

Constantia operates 28 flexible packaging sites in 15 countries, catering to domestic and international companies in the consumer and pharma sectors.

In June of last year, Constantia Flexibles concluded the acquisition of Poland-based packaging company Drukpol Flexo.

With Drukpol Flexo joining its ranks, Constantia aims to fortify the global presence of both packaging entities and expand their sustainable product offerings by injecting more investments to drive the growth of the European flexographic printing platform.

Pim Vervaat reiterated Constantia’s commitment, stating, “With the finalization of this acquisition, we eagerly welcome Drukpol Flexo into the Constantia Flexibles family.

“The integration of Drukpol Flexo’s expertise and cutting-edge technologies further bolsters our position as a global leader in flexible packaging.

“We are confident that this strategic maneuver will empower us to better serve our customers with a broader array of innovative and sustainable packaging solutions.”

Drukpol is renowned for its prowess in printing and converting, specializing primarily in flexographic printing, extrusion lamination, and vertical integration.
